The Short Version

  • These terms cover your use of this website and our general working terms.
  • For paid projects, a signed proposal or agreement sets the details and takes priority over this page.
  • You own the final work once it is paid for in full. We may show it in our portfolio unless you tell us not to.
  • Questions? Email hello@orangehing.com.
01

About these terms

These terms apply to your use of https://orangehing.com and to services provided by OrangeHing Agency Ltd. ('we', 'us'). By using the site or hiring us, you agree to them. If you do not agree, please do not use the site.

02

Our services

We provide web design and development, AI automation, branding and related digital services. The exact scope, deliverables, timeline and price for each project are set out in a written proposal, statement of work or agreement ('Project Agreement'). If a Project Agreement conflicts with these terms, the Project Agreement applies.

03

Getting started

Nothing on this website is a binding offer. A project begins only when you accept a written proposal and, where required, pay the deposit.

  • Proposals are valid for 30 days from the date of issue.
  • Changes to project scope must be agreed upon in writing and may adjust the timeline and total fee.
04

Payments

Invoices are due within 14 days of issuance. Late payments may pause active work and may incur a late interest charge of 1.5% per month where permitted by applicable law.

Initial deposits are non-refundable once work has commenced. Taxes (such as VAT or sales tax) are added where statutory regulations require. Recurring maintenance and support plans renew monthly until cancelled with 30 days' advance notice.

01

02
Design approval
25%

Milestone payment upon formal design and prototype approval.

03
Launch
25%

Final payment before domain launch or production file handover.

05

What we need from you

  • Timely feedback and approvals (we may adjust the project schedule if critical feedback is delayed more than 5 business days).
  • Accurate content, brand assets, API keys, and server access necessary to complete the engagement.
  • The legal right to use any materials, images, fonts, and trademarks you provide to us, with full responsibility for any third-party claims.
  • A designated single point of contact with decision-making authority.
06

Revisions and changes

Each package includes 2 structured rounds of revisions as stated in your Project Agreement. Extra revision cycles and requests outside the agreed project scope will be quoted separately before execution.

07

Ownership and intellectual property

Plain English: you own the final work after you pay in full.
  • You own the final deliverables once all fees are paid in full. Until then, we retain ownership and you receive a limited licence to review.
  • We keep ownership of our pre-existing tools, code libraries, templates, know-how and methods, and grant you a non-exclusive, perpetual licence to use any of them included in your deliverables.
  • Third-party materials (stock images, web fonts, plugins, open-source code, and SaaS platforms) remain subject to their respective licences, and you are responsible for any ongoing subscription or licence costs.
  • Portfolio rights: we reserve the right to feature the completed project and case studies in our portfolio and marketing materials, unless you request otherwise in writing (we will never disclose confidential information).
08

Use of AI and third-party tools

We may use AI-assisted tools and third-party software to help design, write, code and automate workflows. We thoroughly review, test, and take responsibility for what we deliver. AI-generated output may be similar to output produced for others and may have limits on ownership or copyright protection in some jurisdictions.

We will not input your confidential or proprietary information into tools that train public foundation models without your explicit consent. Automations and integrations depend on external services (such as CRMs, email servers, cloud hosting, and AI APIs) that can change, experience downtime, or alter their pricing; we are not liable for third-party outages or unilateral platform changes.

09

Confidentiality

Each party agrees to keep the other's non-public proprietary information strictly confidential and use it only for the purposes of the project, except where disclosure is required by law. This obligation continues for 3 years following project completion.

10

Hosting, launch and support

Unless the Project Agreement specifically provides otherwise, domain registration, hosting fees, and third-party SaaS subscriptions are billed directly to you. After launch, we provide a 30-day warranty window to fix any defects within the agreed scope at no additional charge. Ongoing updates, maintenance, and technical support are provided under a separate care plan.

11

Website use rules

When using this website you agree not to: violate any applicable laws; attempt unauthorized access to restricted areas; disrupt or overburden our infrastructure; transmit malware, automated scraping scripts, or unsolicited spam; copy, scrape, or redistribute our site content without prior written permission; or misrepresent your identity.

12

Our website content

The typography, design system, source code, visual graphics, videos, and logos on this website belong to OrangeHing Agency Ltd. or its licensors and are protected by international intellectual property laws. Third-party brand marks displayed on this site belong to their respective owners and appear strictly with permission or to reflect bona fide working relationships.

13

No guarantees of results

Plain English: we build great tools, but external market results depend on factors beyond our control.

We employ world-class craft and engineering to build high-performance digital products, but we cannot guarantee specific external commercial results such as search engine ranking positions, web traffic figures, conversion volumes, or sales revenue. The website is provided 'as is' and 'as available'.

14

Limitation of liability

Plain English: our liability is capped at the total amount you paid us for the project.

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, or consequential losses, loss of profits, loss of data, or business interruption. Our aggregate liability for any claim arising out of or related to a project is strictly limited to the total fees you paid us for that project in the 12 months preceding the claim.

Nothing in these terms limits or excludes liability that cannot be excluded under English law, including fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

15

Indemnity

You agree to indemnify, defend, and hold harmless OrangeHing Agency Ltd. and its officers, employees, and contractors from any claims, damages, liabilities, or costs arising out of materials provided by you or your misuse of the deliverables, to the extent allowed by law.

16

Cancellation and termination

  • You may cancel an ongoing project at any time with written notice. In that event, you agree to pay for all work completed and expenses committed up to the cancellation date.
  • We may pause or terminate an engagement if invoices are past due, required client feedback is absent for more than 14 days, or these terms are breached, following 7 days' written notice to remedy the issue.
  • Upon termination, all outstanding fees become immediately due, and clauses regarding payment, ownership, confidentiality, limitation of liability, and governing law remain in full force.
17

Disputes and governing law

We believe in resolving issues amicably through open dialogue. In the event of a dispute, please email hello@orangehing.com and our leadership team will respond within 14 days.

These terms and any Project Agreement are governed by and construed in accordance with the laws of England and Wales. The courts of London, United Kingdom have exclusive jurisdiction to settle any disputes, subject to any statutory consumer protections in your local jurisdiction.

18

Changes to these terms

We reserve the right to modify these terms from time to time. The date at the top indicates when the latest version was published. Changes do not retroactively alter an existing signed Project Agreement unless agreed in writing by both parties.

19

General

  • Entire agreement: These terms together with your Project Agreement constitute the entire agreement between the parties.
  • Severability: If any provision of these terms is deemed unlawful or unenforceable, the remaining provisions will continue in full force.
  • No waiver: Failure to enforce any right or provision under these terms does not waive our right to enforce it later.
  • Assignment: You may not assign your rights or obligations without our prior written consent.
  • Subcontractors: We may engage trusted specialist contractors to assist with delivery while remaining fully responsible for project quality.
